"Miva Connect: QuickBooks Edition" is a subscription service offered by Miva pursuant to which Miva grants Customer a limited, non-exclusive, non-transferable, and revocable license, during the applicable subscription term, to access and use a standardized integration between the Miva Platform and QuickBooks Online (the "QBO Connector"). For the avoidance of doubt, license to and use of QuickBooks Online is not included with Customer's subscription to Miva Connect: QuickBooks Edition, and must be obtained and maintained directly by Customer, subject to Intuit's applicable terms and conditions.
Customer's subscription to Miva Connect: QuickBooks Edition includes a standard, one-time installation and configuration of the QBO Connector (the "Standard Implementation"). Standard Implementation consists solely of enabling the QBO Connector within Customer's Miva Platform environment and configuring the connection to Customer's QuickBooks Online account using Miva's predefined settings and supported data mappings. Standard Implementation is provided once per subscription to Miva Connect: QuickBooks Edition. Re-installation or re-configuration required due to Customer-initiated changes, credential updates, or third-party system changes may require additional effort and may be subject to additional fees upon mutual agreement of the parties.
Standard Implementation is limited to Miva's standard configuration and does not include any customization, modification of data mappings, changes to synchronization logic, or development of additional functionality. Customer acknowledges that the QBO Connector operates as a standardized, plug-and-play integration and that configuration options are limited to those made available by Miva.
Customer is responsible for maintaining an active QuickBooks Online account, providing required access credentials and permissions, and ensuring that Customer's QuickBooks Online environment is compatible with the QBO Connector. Miva is not responsible for configuration, customization, or remediation of Customer's QuickBooks Online account or data.
Miva will provide commercially reasonable support to maintain compatibility between the Miva Platform and supported versions of QuickBooks Online. Miva does not provide accounting advice, data reconciliation services, or QuickBooks Online configuration assistance.
Fees for Miva Connect: QuickBooks Edition will be billed on a recurring monthly basis in accordance with this Agreement and the applicable Pricing Schedule included in this Agreement. Unless otherwise stated by Miva in writing, monthly subscription fees are calculated on a monthly basis and are non-refundable.
The Miva Connect: QuickBooks Edition monthly subscription fee will be determined based on Customer's total Store Order volume for the applicable calendar month, as set forth in the applicable Pricing Schedule. Customer is not required to make any advance election of a usage tier.
Notwithstanding the foregoing, the price set forth in the first tier of the applicable Pricing Schedule is the minimum fee that will be charged each month for Miva Connect: QuickBooks Edition. The minimum monthly fee will be billed in advance based on the date your subscription to Miva Connect: QuickBooks Edition begins and thereafter in accordance with Customer's applicable billing cycle, which may be aligned to calendar months at Miva's discretion. Store Order volume is measured on a full calendar-month basis, regardless of the billing schedule applicable to the minimum monthly fee.
Following the end of each calendar month, Customer's Store Order volume for such month will be calculated, and the total monthly fee applicable.
